Additional Terms and Conditions

If you are accessing the Yahoo Finance Community service (“Finance Community”), then these terms and conditions (the “Additional Terms”) apply to you in addition to our general Terms of Use (“General Terms”) available at https://legal.yahoo.com/us/en/yahoo/terms/otos/index.html. Capitalized terms used but not defined herein have the meaning set forth in the General Terms.

1. USER CATEGORIES. The Finance Community is open to non-licensed or non-regulated individual investors, regulated financial professionals, and other non-regulated financial professionals  (individually, a “User”, and collectively, “Users”). For purposes of these Additional Terms:
   • “Individual Investor” means an individual User who participates in the Finance Community in a personal, non-professional capacity and is not regulated or licensed to provide investment advice or services.
   • “Regulated Financial Professionals” means a certified financial professional, who is registered, licensed or authorized to provide investment advice.
   • “Other Financial Professionals” means any User who is employed in a non-regulated capacity in the financial services media industry and related fields, including without limitation, analysts, journalists and influencers.
2. ELIGIBILITY AND ACCOUNT REGISTRATION.
   • If you are not at least 18 years old, you may not use Finance Community.
   • In order to post or contribute to the Finance Community, you must register and complete a profile (“User Profile”), including the mandatory designation of  the User type that accurately reflects your professional status. You understand and agree that a disclaimer reflecting your selected User type may be automatically displayed on your User Profile.
   • If you are a Regulated Financial Professional:
     • You must accurately identify (and subsequently update, as applicable) your professional status and, if applicable, any relevant licenses or registrations.
     • You are solely responsible for ensuring your participation, content and communications within the Finance Community comply with applicable laws, regulations and professional standards, including, without limitation, the SEC, FINRA and any state, provincial, or industry-specific licensing bodies.
3. DISCLAIMERS.  By accessing content on Finance Community, you acknowledge and agree that:
   • Yahoo is not an investment adviser, financial advisor, broker, dealer or tax advisor. By accessing the Finance Community, you agree that you are not entering into an advisory relationship with Yahoo, any of its affiliates, or any other User on the Finance Community.
   • All content available on the Finance Community, including posts by Regulated Financial Professionals, Other Financial Professionals or Paid Contributors, is for informational and educational purposes only. No content on the Finance Community constitutes tax, legal, financial or investment advice, and nothing on the Finance Community should be construed as an offer to buy or sell a security or other financial product or a solicitation, recommendation or advice by Yahoo in relation to any security transaction or other investment. Yahoo does not guarantee the accuracy, completeness or reliability of any User-generated content and expressly disclaims all liability arising from your reliance on such information.
   • Trading or investing in such securities or other financial products can result in immediate and substantial losses of the capital invested. You should only invest funds that you are able to use, and can afford to lose, and you should conduct your own due diligence before making any investment decisions. Yahoo specifically disclaims any and all liability or loss arising out of any action taken in reliance on content on Finance Community, including but not limited to the advisability of investing in any securities, market value or other loss on the sale or purchase of any company, property, product, service, security, instrument, or any other matter.
   • You understand that an investment in any security or other financial product is subject to a number of risks, and that discussions of any security or financial instrument published on Finance Community will not contain a list or description of relevant risk factors. We encourage you to research any investment before committing funds, and to also consult an attorney or tax professional regarding your specific legal or tax situation.
   • The content on Finance Community reflects the individual opinions of the Users posting such content and is not tailored to your individual situation nor has any determination been made as to whether such opinions are suitable for you. No content on Finance Community – including any Portfolio Information (as defined below) made available by another User of Finance Community – should be considered a model portfolio nor should it be used as such. You alone are solely responsible for determining whether any investment, security or strategy, or any other product or service, is appropriate or suitable for you based on your investment objectives and personal and financial situation.
   • You should be aware that Users posting content on Finance Community may have a financial interest in companies, securities or other financial products referred to in that content. Users posting content on Finance Community may also take financial positions inconsistent with the views expressed in their content. Even if a User in the Finance Community makes their Portfolio Information available, it is possible that such information is inaccurate or incomplete.
   • Some Finance Community Users may be compensated by Yahoo for their contributed content on Finance Community and/or for republication or further distribution of their content in other locations on Yahoo Finance to promote engagement and highlight relevance of the subject matter. However, such compensation does not in any way constitute an endorsement of the content, the User or any views expressed within the content. These Users are never paid to recommend or endorse specific securities, financial products, advisers or strategies. All content contributed by such Users represents their own views and opinions, and should not be construed as an endorsement, statement or communication by Yahoo.
   • Yahoo does not verify or endorse any User’s credentials, and is not responsible for confirming a User’s compliance with applicable licensing obligations.
   • Yahoo disclaims any and all responsibility or liability for errors, omissions or regulatory breaches by all contributing Users, including Regulated Financial Professionals and Other Financial Professionals.

4. POSTING CONTENT ON FINANCE COMMUNITY. The Finance Community is intended to foster meaningful conversation, learning and engagement around financial topics. By posting content on Finance Community, and to preserve the integrity of the discussion, you agree to abide by the General Terms, the Yahoo Community Guidelines and the following additional rules:

   • Any content you post must be based on information you believe to be accurate, and your content will not contain any misleading or deceptive information.
   • You will not post any content designed to raise, depress or otherwise manipulate the price of any security or other investment product. Without limiting the foregoing, you will not repeatedly send overly positive or negative messages about a particular company, security or investment product without providing substantive new information.
   • You will not post content that is primarily intended to drive traffic to external websites, or directly or indirectly market and/or raise the profile of any company, brand or service.
   • You will not use the Finance Community to advertise, solicit clients or otherwise monetize participation within the Finance Community.
   • Any content you post is for general audiences and not tailored to any particular individual.
   • You will not include in your posts any promotional content, solicitations or links to paid services, trading venues, investment advisory services, investment products, or sales materials for securities, investment advisory services, or other investment products. Notwithstanding the foregoing, (a) if you are a Regulated Financial Professional, including an RIA, you may include a link to your professional website, social media or disclosure materials in the bio within your User Profile only, but not within the body of your posts or comments; and (b) if you are an Other Financial Professional, you may include a link to your Substack(s) or similar sites, professional website or social media in the bio within your User Profile only, but not within the body of your posts or comments. You will not post content that constitutes an offer to sell or purchase any securities or other financial instruments.
   • You will not promote any investment on Finance Community where you, your company or firm, or a member of your household has a material financial interest in the debt or equity securities of the subject company (including without limitation, whether it consists of any option, right, warrant, future, long or short position) unless you disclose such interest as part of the relevant post.
   • You will not receive any compensation from anyone other than Yahoo for posting content (including with respect to posting about particular companies, securities or other financial products, or posting about particular advisers or strategies).
   • You will not post content consisting of confidential or nonpublic information unless you have the right to publicize such information without restriction.
   • You may not violate any applicable law or regulation while accessing and using Finance Community, including without limitation the rules and regulations of the U.S. Securities and Exchange Commission (especially and including rules against making false or misleading statements to manipulate the price of any security or other financial instrument) or any state or provincial securities authority. Without limiting the foregoing, you may not use Finance Community to engage in any activity that would require you to register as a broker-dealer or investment adviser with the U.S. Securities and Exchange Commission or any state or provincial securities authority.

   Yahoo reserves the right in its sole discretion to moderate and/or remove content that violates the rules set forth above, or is otherwise inconsistent with the intended purpose of the Finance Community. If you believe your content has been moderated or removed in error (e.g., misinterpretation of context, educational content misclassified, opinion mistaken for fact, User targeted unfairly, etc.), you may appeal the moderation or removal decision by following the instructions provided in the notification you received.

5. ADDITIONAL TERMS FOR REGULATED FINANCIAL PROFESSIONALS. If you are a Regulated Financial Professional, you acknowledge and agree that:
   • Your participation in the Finance Community does not establish any client relationship with any Users.
   • You must include appropriate disclosures, as required by applicable law and professional standards.
   • You may include a link to your professional website, social media or disclosure materials in the bio within your User Profile only, but not within the body of any of your posts or comments.
   • You are fully responsible for all statements made and information shared under your User Profile.

6. PAID CONTRIBUTIONS. From time to time, Yahoo may engage Regulated Financial Professionals, Other Financial Professionals or other subject matter experts to contribute content in return for compensation in various locations across Yahoo Finance (“Paid Contributors”). Paid contribution opportunities are offered at Yahoo’s sole discretion and are not guaranteed. Yahoo may determine, at any time or for any reason, whether to request, publish or compensate for any contribution. For the avoidance of doubt, engagement of a User for a paid contribution does not in any way obligate Yahoo to publish it.

   These paid contribution arrangements are for content creation only and do not constitute any endorsement, sponsorship or paid promotion of any Paid Contributor. All Paid Contributors must comply with these Additional Terms and any additional terms and conditions applicable to paid contributions (“Paid Contribution Terms”), as provided by Yahoo. In the event of any conflict between these Additional Terms and the Paid Contribution Terms, the Paid Contribution Terms shall control with respect to the subject matter of the paid contributions.

   Yahoo does not dictate or control the substance, opinions or views expressed in such paid contributions, and any such contributions are solely those of the contributor and do not represent or reflect the viewpoint of Yahoo in any way. Yahoo is not responsible or liable for any reliance on or use of such content.

   If you are a Paid Contributor:

   • You represent that you are legally-permitted to provide the content for which you are being compensated.
   • You agree that you are solely responsible for ensuring that your content complies with all applicable laws, regulations and professional obligations.
   • You understand that Yahoo may edit, remove or refuse to publish any of your content in its sole discretion.
   • You grant Yahoo a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute and display the content for which you are being compensated for purposes of publication within Yahoo Finance.
7. SUSPENSION, TERMINATION AND ENFORCEMENT. Yahoo may, at any time and in its sole discretion:
   • Remove or edit any content, post or comment that violates these Additional Terms, the Yahoo Community Guidelines or applicable law;
   • Restrict, suspend or terminate (and where deemed necessary, a ban from creating additional accounts) your User Profile and/or access to the Finance Community for violations of these Additional Terms, spamming, monetizing or misuse of the Finance Community; and
   • Report suspected illegal activity to the appropriate authorizes or regulatory bodies.
8. LINKING TO YOUR PORTFOLIO: Users may connect their account on Finance Community with one or more third-party service providers with whom you have a customer relationship, maintain accounts or engage in financial transactions (collectively, “Third Party Account Providers”) who have agreed to provide information through Finance Community. By connecting your account on Finance Community with a Third Party Account Provider, you acknowledge and agree that:
   • By submitting data, passwords, usernames, PINs, and other log-in information (“Account Information”) through our connectivity partner in accordance with their terms presented to you prior to initiating submission, you are granting our connectivity partner the right to use such Account Information to connect Finance Community to your Third Party Account Provider, and you are granting Yahoo the right to access information from the relevant Third Party Account Provider regarding your investments and transaction history with the Third Party Account Provider. You agree that the following information will be made publicly available on Yahoo Finance (your “Portfolio Information”):
     • Ticker symbol of securities
     • Last price today
     • Price change today
     • Portfolio weight percentage
   • Yahoo may also have access to other information regarding your accounts if necessary to provide customer support services, but will not make this information public. Yahoo may use and store this information and your Portfolio Information in accordance with the General Terms, these Additional Terms and our Privacy Policy.
   • Yahoo is not responsible for any errors in the display of Portfolio Information, including errors that may arise from errors due to our connectivity provider or your Third Party Account Provider. Yahoo hereby disclaims any liability for the timeliness, accuracy, deletion, non-delivery or failure to store any Portfolio Information. For example, when displayed through Finance Community, Portfolio Information may not be updated in real time and so may not reflect the latest transactions with your Third Party Account Provider. Such information may be more up-to-date when obtained directly from the Third Party Account Provider. You agree to indemnify Yahoo for any losses, costs, expenses or damages incurred by Yahoo due to your use of third-party products or services, including any violation of a third party’s terms of service or other agreement relating to such products or services.
   • Yahoo is not responsible for any interactions between you and any Third Party Account Provider, including any transaction you enter into with that Third Party Account Provider.
